Terms of Service
Effective date: 30 August 2026
Last updated: 30 August 2026
These Terms of Service (the "Terms") govern your access to and use of Headwind (the "Service"), operated by Headwind s.r.o. ("we," "us," or "our").
By creating an account, purchasing or accessing a subscription, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You may use the Service only if you can lawfully enter into a binding contract with us and are not prohibited from using the Service under applicable law.
You must be at least 18 years old to use the Service.
If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms, and "you" includes that organization.
2. The Service
The Service allows users to track selected companies and receive informational alerts and news summaries concerning developments that automated systems identify as potentially negative or significant.
The Service may include account features, watchlists, alert preferences, summaries, classifications, notifications, links to third-party materials, and other related functionality.
The Service is an informational news-monitoring tool. It does not generate or sell trading signals and is not designed to provide complete, real-time, or comprehensive coverage of all news, securities, issuers, markets, or events.
The Service currently supports selected common stocks listed on United States exchanges. It does not currently support non-US exchanges, exchange-traded funds, funds, options, futures, cryptocurrencies, or other financial instruments unless we expressly identify them as supported.
The Service is offered only to individuals located in the United States, the United Kingdom, and Canada excluding Quebec. You may not purchase or use the Service from another location. Availability of the Service in a country does not mean that we monitor securities, exchanges, or news sources from that country.
3. Informational Purposes Only — No Financial Advice
The Service is provided for general informational purposes only.
Nothing in the Service, including any alert, classification, summary, headline, explanation, automated analysis, score, label, notification, or other output:
- constitutes financial, investment, legal, tax, accounting, or other professional advice;
- constitutes or should be understood as a trading signal;
- constitutes a recommendation or solicitation to buy, sell, hold, short, or otherwise transact in any security or financial instrument;
- is intended to provide a personalized investment recommendation;
- should be relied on as the sole basis for an investment or trading decision; or
- creates a fiduciary, advisory, brokerage, agency, or professional-client relationship between you and us.
You are solely responsible for evaluating information, performing your own research, assessing risks, and making your own financial and investment decisions. You should consult appropriately qualified professionals where needed.
Past events, classifications, alerts, or other information available through the Service do not guarantee any future result, market movement, or investment outcome.
4. Automated and AI-Assisted Analysis
The Service uses automated systems and may use artificial-intelligence-assisted functionality to analyze, classify, summarize, prioritize, or otherwise process information.
Automated or AI-assisted outputs may be inaccurate, incomplete, misleading, inconsistent, incorrectly classified, outdated, or based on incomplete source material. Automated systems may also fail to identify information that a human reviewer might consider important.
You should independently verify information before relying on it for any financial, legal, business, or other significant decision.
We do not guarantee that any automated or AI-assisted output is correct, complete, objective, suitable for your circumstances, or free from error.
5. Alerts, Timing, and Coverage
Alerts are provided on a best-efforts basis.
You acknowledge and agree that:
- alerts may be delayed, duplicated, incomplete, inaccurate, incorrectly classified, or unavailable;
- a significant event may not be detected, classified, or delivered as an alert;
- an alert may be delivered after the underlying event has already affected the market;
- delivery may fail because of technical issues, third-party service interruptions, email filtering, account settings, network conditions, or other factors;
- the Service may not cover every source, issuer, security, event, market, or jurisdiction; and
- the absence of an alert does not mean that no relevant, negative, material, or significant event has occurred.
You must not rely on the Service as your sole monitoring, risk-management, compliance, investment-research, or market-surveillance tool.
6. Third-Party News, Market Information, and Links
The Service may display, summarize, classify, reference, link to, or otherwise use information originating from third parties, such as news publishers, financial-data sources, public sources, or other content providers ("Third-Party Content").
Third-Party Content may be inaccurate, incomplete, delayed, unavailable, changed, withdrawn, or subject to third-party rights, restrictions, licenses, or terms. We do not control and do not guarantee the accuracy, completeness, timeliness, legality, availability, or continued accessibility of Third-Party Content.
Ownership of Third-Party Content remains with its respective owners. Except as expressly permitted by law or the relevant rights holder, these Terms do not grant you any ownership rights in Third-Party Content.
Links to third-party websites or services are provided for convenience only. We are not responsible for third-party websites, services, content, products, policies, security, or practices.
7. Accounts
You may need an account to use some or all of the Service.
You agree to:
- provide accurate information when creating and maintaining your account;
- keep your login credentials confidential;
- promptly notify us if you believe your account has been compromised or used without authorization; and
- be responsible for activity occurring through your account to the extent permitted by law.
You may not share, sell, transfer, or commercially sublicense access to your account except where we expressly permit it.
We may require you to verify account information or take reasonable steps to protect the Service from fraud, abuse, or unauthorized access.
8. User Settings and Alert Preferences
The Service may allow you to select companies, alert preferences, or other monitoring criteria. When you add a company to your watchlist, news-alert emails for that company are enabled by default. Adding a company constitutes your request to receive those service alerts unless you disable or pause them using the settings or unsubscribe mechanism we provide.
You are responsible for keeping those settings accurate and appropriate for your needs. Changes to your settings may not take effect immediately, and previous settings may continue to affect alerts that were already being processed.
We do not guarantee that your selected preferences will cause every event matching your expectations to generate an alert.
9. Subscriptions, Fees, and Billing
Some or all features of the Service require a paid subscription. The subscription details and total price applicable to you will be displayed before you start a trial or place an order.
Headwind offers one monthly subscription following a 14-day free trial. The advertised base price is USD $19 per month. Where supported, the checkout may display and charge an equivalent amount in your local currency. The checkout will disclose the total amount due, including or separately identifying any applicable taxes and permitted currency-conversion charges, before you agree to the subscription.
You will not be charged during the 14-day free trial. Unless you cancel before the trial ends, the subscription automatically converts to a paid monthly subscription and your payment method will be charged the price disclosed at checkout. After that, the subscription automatically renews each month until cancelled. We or our Merchant of Record will send a reminder before the first paid charge.
Payments may be sold and processed by the third-party merchant of record identified at checkout (the "Merchant of Record"). The Merchant of Record is the legal seller for the payment transaction and may collect payment, calculate and remit applicable indirect taxes, issue invoices, process refunds, and provide billing support. Its buyer terms and privacy policy also apply to the payment transaction. These Terms continue to govern your access to and use of Headwind.
By starting a trial that converts to a paid subscription, you authorize the Merchant of Record and its payment providers to charge the disclosed recurring fees, taxes, and other disclosed amounts using your selected payment method.
If a payment fails, is reversed, or becomes overdue, we may suspend or limit paid features after any notice or cure period required by applicable law.
We may change fees or plan features prospectively. We will give you advance notice of a price increase as required by law, and the change will apply no earlier than your next renewal following that notice. Where required by law, we will request your express agreement to the new price. You may cancel before the new price takes effect.
10. Cancellation and Refunds
You may cancel at any time through the billing or subscription-management page made available in your Headwind account or by the Merchant of Record. You may also contact us at support@getheadwind.com if that process is unavailable.
If you cancel during the free trial, you will not be charged. If you cancel a paid subscription, cancellation normally takes effect at the end of the current billing period, you retain paid access until then, and you will not be charged again. We do not charge a cancellation fee. We or the Merchant of Record will confirm your cancellation in writing or by email.
You may request a full refund of your first subscription payment within 14 days after it is charged. This introductory refund is available once per customer. To request it, use the refund process provided by the Merchant of Record or contact us at support@getheadwind.com.
Later renewal payments are generally non-refundable, and we do not provide prorated refunds or credits for an unused part of a billing period. We will nevertheless provide any refund required by law, correct duplicate or erroneous charges, and provide an appropriate refund or credit where the paid Service was materially unavailable. Approved refunds are processed by the Merchant of Record to the original payment method.
Nothing in these Terms limits any refund, cancellation, withdrawal, cooling-off, or other consumer right that cannot lawfully be waived.
11. Acceptable Use
You may use the Service only for lawful purposes and in accordance with these Terms.
You may not, and may not permit or assist anyone else to:
- violate any applicable law, regulation, third-party right, or contractual restriction;
- access or use the Service in a way that is fraudulent, deceptive, abusive, harassing, harmful, or disruptive;
- interfere with, disrupt, overload, damage, disable, or impair the Service or another user's access to it;
- bypass, defeat, circumvent, or attempt to circumvent access controls, usage limits, rate limits, subscription restrictions, technical protections, or security measures;
- scrape, crawl, spider, harvest, index, mirror, copy, or systematically extract data, content, outputs, alerts, classifications, or other material from the Service by automated means except as expressly permitted by us in writing;
- use bots, scripts, automated agents, or similar tools to access the Service in a manner not expressly authorized by us;
- reverse engineer, decompile, disassemble, decode, derive, discover, reconstruct, or attempt to identify the source code, underlying ideas, methods, models, classifications, scoring systems, alert logic, prompts, workflows, or other proprietary aspects of the Service, except to the limited extent such restriction is prohibited by applicable law;
- reproduce, clone, frame, resell, sublicense, distribute, commercialize, or create a substitute for a material portion of the Service without our written permission;
- use the Service, its outputs, or systematically extracted information to build, train, benchmark, improve, or operate a competing or substantially similar product or service, except where applicable law prevents such a restriction;
- remove, obscure, or alter proprietary notices;
- introduce malware, malicious code, or harmful content;
- probe, scan, test, or exploit vulnerabilities without our prior written authorization;
- impersonate another person or misrepresent your affiliation with any person or organization; or
- use the Service in any manner that could create material legal, security, operational, or reputational risk for us or other users.
We may investigate suspected violations and take reasonable steps to protect the Service, our users, and third parties.
12. Intellectual Property
As between you and us, we and our licensors retain all right, title, and interest in and to the Service and all related intellectual property and proprietary rights, including the software, user interface, designs, documentation, branding, methodologies, classifications, taxonomies, scoring approaches, alert logic, models, prompts, selection and arrangement of outputs, and other proprietary systems and know-how.
Except for the limited right to use the Service in accordance with these Terms, no rights are granted to you by implication, estoppel, or otherwise.
Subject to your compliance with these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable right to access and use the Service for your own lawful purposes during the period in which you are authorized to use it.
Nothing in these Terms transfers ownership of Third-Party Content or third-party intellectual property to you or to us.
13. Feedback
If you voluntarily provide feedback, suggestions, ideas, or improvement requests about the Service, you grant us a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free right to use and exploit that feedback for any lawful purpose without restriction or compensation to you.
Do not submit confidential information to us as feedback unless we have separately agreed in writing to receive it on a confidential basis.
14. Privacy
Our collection and use of personal information are described in our Privacy Policy:
Our Privacy Policy is incorporated by reference. Before launch, this link will be replaced with the public Privacy Policy URL.
The Privacy Policy is separate from these Terms. If applicable law gives you rights that cannot be waived by contract, those rights are not limited by these Terms.
15. Service Communications
By using the Service, you agree that we may send you service-related communications, including the news alerts and summaries described in Section 8, account notices, security messages, billing notices, trial-ending reminders, cancellation confirmations, and other transactional communications.
News alerts and summaries requested through your watchlist are part of the Service and are not promotional marketing. You can pause or disable them using the settings or unsubscribe mechanism we provide, subject to a short processing delay.
We may advertise Headwind through third-party advertising platforms. Advertising-related data practices, including any use of cookies, pixels, conversion tools, or audience tools, are described in our Privacy Policy and any cookie notice presented to you.
If we send optional promotional emails or messages, we will obtain consent where required by law and provide a free and easy way to unsubscribe. Unsubscribing from promotional communications does not prevent us from sending requested alerts or necessary account, security, billing, or legal notices. Disabling news alerts does not prevent necessary account, security, billing, or legal notices.
16. Changes to the Service
We may add, remove, modify, suspend, limit, or discontinue features or functionality from time to time.
We do not guarantee that any particular feature, alert type, source, security, market, classification, interface, or integration will remain available indefinitely.
If a change materially affects a paid subscription, we will provide any notice or remedy required by applicable law or the applicable subscription terms.
17. Service Availability
The Service may be unavailable, interrupted, delayed, degraded, or restricted because of maintenance, technical failures, third-party failures, security events, changes in law, force majeure events, or other circumstances.
We do not guarantee uninterrupted, error-free, secure, or continuously available operation.
We may perform maintenance, impose reasonable usage restrictions, or temporarily limit access where reasonably necessary to protect the Service, users, or third parties.
18. Suspension and Termination
You may stop using the Service at any time. Account deletion and subscription cancellation may be subject to the processes described in these Terms and our Privacy Policy.
We may suspend, restrict, or terminate your access to some or all of the Service if we reasonably believe that:
- you have materially violated these Terms;
- your use creates a security, legal, fraud, abuse, or operational risk;
- payment is overdue, reversed, or invalid for a paid Service;
- suspension is necessary to comply with law or a lawful governmental request; or
- continued provision of the Service is no longer commercially or technically feasible.
Where appropriate and legally required, we will provide notice and a reasonable opportunity to cure before termination. We may act immediately where necessary to address fraud, abuse, security threats, legal obligations, or material harm.
Upon termination, your right to use the Service ends. Provisions that by their nature should survive termination will survive, including provisions concerning intellectual property, disclaimers, liability, indemnification, disputes, and miscellaneous terms.
19. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND QUIET ENJOYMENT.
WITHOUT LIMITING THE ABOVE, WE DO NOT WARRANT THAT:
- THE SERVICE OR ANY ALERT WILL BE TIMELY, ACCURATE, COMPLETE, CORRECTLY CLASSIFIED, ERROR-FREE, OR AVAILABLE;
- EVERY RELEVANT OR SIGNIFICANT EVENT WILL BE IDENTIFIED;
- EVERY ALERT WILL BE CREATED OR DELIVERED;
- THIRD-PARTY CONTENT WILL BE ACCURATE, COMPLETE, CURRENT, OR AVAILABLE;
- AUTOMATED OR AI-ASSISTED OUTPUTS WILL BE CORRECT OR SUITABLE FOR YOUR PURPOSES;
- THE SERVICE WILL MEET YOUR INVESTMENT, TRADING, RESEARCH, COMPLIANCE, OR BUSINESS NEEDS; OR
- USE OF THE SERVICE WILL PREVENT LOSSES OR PRODUCE ANY PARTICULAR FINANCIAL OR OTHER RESULT.
Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.
20. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OPPORTUNITY, ANTICIPATED SAVINGS, OR INVESTMENT VALUE, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR LOSSES ARISING FROM OR RELATING TO:
- INVESTMENT, TRADING, OR FINANCIAL DECISIONS;
- MARKET MOVEMENTS;
- MISSED, DELAYED, DUPLICATED, INACCURATE, OR INCORRECTLY CLASSIFIED ALERTS;
- FAILURE TO IDENTIFY OR DELIVER INFORMATION ABOUT AN EVENT;
- AUTOMATED OR AI-ASSISTED OUTPUTS;
- THIRD-PARTY CONTENT OR THIRD-PARTY SERVICES;
- SERVICE INTERRUPTIONS OR UNAVAILABILITY; OR
- UNAUTHORIZED ACCESS CAUSED BY CIRCUMSTANCES OUTSIDE OUR REASONABLE CONTROL.
If you use the Service as a consumer, our liability to you will not be excluded or limited except to the extent permitted by the mandatory law applicable to you.
If you use the Service on behalf of a business or other organization, then, to the maximum extent permitted by law, our aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of USD $100 or the total fees paid or payable for the Service during the 12 months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability for fraud or fraudulent misrepresentation, willful misconduct, gross negligence where it cannot lawfully be limited, death or personal injury caused by negligence, breach of mandatory consumer rights, or any other liability that cannot lawfully be excluded or limited.
21. Indemnification
This Section 21 applies only if you use the Service on behalf of a business or other organization. To the extent permitted by applicable law, that business or organization agrees to defend, indemnify, and hold harmless us and our affiliates, officers, directors, employees, contractors, and agents from and against third-party claims, liabilities, damages, judgments, losses, costs, and reasonable legal fees arising out of or relating to:
- your unlawful or unauthorized use of the Service;
- your material breach of these Terms; or
- your violation of another person's rights.
This section does not apply to consumers or to the extent prohibited by applicable law.
22. Dispute Resolution
Before starting formal proceedings, you may contact us at support@getheadwind.com so that we can try to resolve the dispute informally. This does not prevent either party from seeking urgent relief or exercising a legal right before a limitation period expires.
We do not require consumers to resolve disputes through private arbitration, and these Terms do not include a class-action waiver.
If you are a consumer, these Terms do not deprive you of any mandatory protection provided by applicable law. You may bring proceedings in any court available to you under applicable consumer law, and we may bring proceedings against you only where permitted by that law.
23. Changes to These Terms
We may update these Terms from time to time.
We will post the updated Terms and revise the "Last updated" date. If a change materially affects your rights or obligations, we will provide any additional notice required by applicable law.
Unless applicable law requires otherwise, changes will apply prospectively from their stated effective date.
If you continue using the Service after updated Terms take effect, your continued use constitutes acceptance to the extent permitted by law.
24. Miscellaneous
Entire agreement
These Terms and any policies expressly incorporated by reference form the agreement between you and us concerning the Service. The Merchant of Record's buyer terms separately govern the payment transaction.
Order of precedence
Headwind does not currently offer enterprise order forms or separately negotiated business subscriptions. If we later enter into a written agreement expressly signed by you and us, that agreement will control over these Terms only to the extent it expressly identifies and conflicts with a provision of these Terms.
Assignment
You may not assign or transfer these Terms without our prior written consent, except where applicable law provides otherwise. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, financing, or sale of all or substantially all of the relevant business or assets, subject to applicable law.
Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect, and the invalid provision will be enforced to the maximum extent permitted by law.
No waiver
A failure to enforce any provision of these Terms is not a waiver of our right to do so later.
No third-party beneficiaries
Except where these Terms expressly state otherwise, they do not create rights for third-party beneficiaries.
Force majeure
To the extent permitted by law, we are not responsible for delay or failure caused by events beyond our reasonable control.
Language
These Terms are currently provided only in English. If we provide a translation in the future, the English version will be the original version, but this does not limit any right you have under applicable law to receive contract terms in another language or to rely on a translated version.
